MEMBER SERVICES AGREEMENT

This Member Services Agreement (the “Agreement”) is entered into by and between Dandelion-Inc (“Provider or Dandelion-Inc”), with its principal place of business at 3120 Linden Place, Canfield OH 44406, and you as the member (“Member”). This Agreement sets forth the terms and conditions governing the membership and the services provided by the Provider to the Member.

MEMBERSHIP SERVICES

Membership Benefits: Dandelion-Inc offers personalized business coaching, accountability sessions, and strategic consulting designed to help overwhelmed entrepreneurs build a thriving business, stay focused, and achieve work-life balance without sacrificing their personal well-being. By signing up for a Growth Membership, the Member will have access to the following benefits and services provided by Dandelion-Inc:

●      EXCLUSIVE WORKSHOPS AND WEBINARS

 

By signing up for a Thrive Membership, the Member will have access to the following benefits and services provided by Dandelion-Inc:

●      MONTHLY 60-MINUTE GROUP SESSION

●      EXCLUSIVE CONTENT AND RESOURCES

●      EXCLUSIVE WORKSHOPS AND WEBINARS

●      MONTHLY 60- MINUTE ACCOUNTABILITY SESSIONS

 

Term: This membership is valid on a rolling month-to-month basis and shall continue until terminated by either party in accordance with the terms of this Agreement.

FEES AND PAYMENT

Monthly Subscription Fee: The Member agrees to pay a monthly subscription fee depending on membership level (“Subscription Fee”) for individual memberships and a higher monthly subscription fee for businesses that provides three individual accounts, to access the services outlined in the Membership Services section of this Agreement. The Subscription Fee will be charged on the date of purchase each month.

Fee Schedule and Payments: The Subscription Fee will be automatically billed on a recurring basis every month to the payment method provided by the Member at the time of registration. The Provider reserves the right to modify the Subscription Fee with thirty (30) days’ notice to the Member.

Payment Method: The Member agrees to provide valid and current payment information, including credit card details or other accepted forms of payment. The Member is responsible for ensuring that their payment method is kept up to date. If payment cannot be processed due to an issue with the payment method, the Member’s access to services may be suspended until payment is received.

CANCELLATION POLICY

Cancellation Rights: The Member may cancel their membership at any time, with no additional charges beyond the current billing period. To cancel, the Member must notify the Provider through the provided cancellation platform. The cancellation will take effect immediately, and no further payments will be processed after the current billing cycle. Upon cancellation, the Member will be considered “inactive.”

Refunds: The Provider does not offer refunds for payments already made. Cancellation will stop further charges, but the Member will retain access to services for the remainder of the current billing cycle.

NON-DISCLOSURE AND PRIVACY

Confidentiality: The Member agrees to keep all confidential and proprietary information received through their membership in strict confidence as outlined in the Dandelion-Inc Proprietary Information Agreement (PIA) attached to this Membership Services Agreement. This includes, but is not limited to, training materials, business strategies and any other sensitive information related to the services provided by the Provider.

Privacy: The Provider will take reasonable steps to protect the personal data of the Member in accordance with applicable privacy laws. By entering into this Agreement, the Member consents to the collection, storage, and use of their personal information.

No Unauthorized Sharing: The Member shall not share, distribute, or disseminate any information provided during the membership unless specifically authorized in writing by the Provider.

MEMBER RESPONSIBILITIES

Usage of Services: The Member agrees to use the Provider’s services for lawful purposes only and in compliance with all applicable laws. The Member agrees not to engage in any conduct that may damage, disable, or impair the Provider’s services or its network.

Prohibited Conduct: The Member agrees not to use the services for any unlawful, fraudulent, or malicious purposes, including but not limited to:

  • Copying, distributing, or otherwise using any materials or content provided by the Provider for commercial purposes.
  • Engaging in any activity that disrupts or interferes with the Provider’s systems, services, or networks.

INFORMATION PROVIDED TO THE MEMBER

Intellectual Property: All materials provided to the Member, including but not limited to workshops, courses, training materials, resources, and other content (“Content”) are owned by the Provider or its licensors. The Member is granted a non-exclusive, non-transferable license to access and use the Content solely for personal, non-commercial purposes.

Use of Content: The Member agrees not to copy, reproduce, distribute, modify, or create derivative works based on the Content, except as expressly authorized by the Provider in writing.

LIMITATION OF LIABILITY

Limitation of Damages: In no event shall the Provider be liable for any indirect, incidental, special, consequential, or punitive damages arising from or in connection with this Agreement, even if the Provider has been advised of the possibility of such damages.

Indemnity: The Member agrees to indemnify and hold the Provider harmless from any claims, damages, or expenses arising from the Member’s breach of this Agreement or misuse of the services provided.

AMENDMENTS AND TERMINATION

Amendments: The Provider reserves the right to modify or amend the terms of this Agreement at any time. Any changes to this Agreement will be communicated to the Member at least thirty (30) days before they take effect. Continued use of the services after any such amendments constitutes the Member’s acceptance of the revised Agreement.

Termination by the Provider: The Provider may terminate the Member’s access to the services at any time for any reason, with or without cause, by providing notice to the Member. In the event of termination by the Provider, the Member will be entitled to a prorated refund for any unused services, if applicable.

GENERAL PROVISIONS

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Ohio without regard to its conflict of law principles.

Dispute Resolution: Any disputes arising under this Agreement shall be resolved through binding arbitration in [State], pursuant to the rules of the [Arbitration Association].

Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Entire Agreement: This Agreement, along with the Dandelion-Inc Proprietary Information Agreement (PIA), constitutes the entire understanding between the parties regarding the subject matter hereof and supersedes all prior or contemporaneous agreements, representations, and understandings.
